Welcome to Mysa Audio ("Mysa," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Mysa website, mobile applications, and services (collectively, the "Service").

By accessing or using the Service, clicking "I Agree," creating an account, or clicking "Enter Site" on our age verification screen, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Mysa. Please read them carefully before using our Service.

Age Requirement

You must be at least 18 years of age to access or use the Service. The Service contains adult-oriented audio content that is not suitable for minors. By using the Service, you represent and warrant that you are at least 18 years old and are legally permitted to access adult content in your jurisdiction.

Age Verification

We require age verification before accessing content. By clicking "Enter Site" on our age verification screen or by creating an account, you confirm under penalty of perjury that:

Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Account Restrictions

You may only create one account. You may not share your account credentials with others. You may not use another person's account without permission. Accounts are non-transferable.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. Mysa is not liable for any loss or damage arising from your failure to protect your account information.

Mysa Content

The Service and its original content (excluding user-generated content), features, and functionality are owned by Mysa and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License

Subject to these Terms, Mysa grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to:

• Modify, copy, or distribute any content from the Service
• Download, record, or capture any audio content
• Use any data mining, robots, or similar data gathering methods
• Reverse engineer or attempt to extract source code
• Remove any copyright or proprietary notices
• Use the Service for any commercial purpose without authorization

Trademarks

"Mysa," "Mysa Audio," and related logos are trademarks of Mysa. You may not use our trademarks without prior written permission.

Content Submission

The Service may allow you to submit, upload, or otherwise make available audio content and other materials ("User Content"). By submitting User Content, you represent and warrant that:

• You own or have the necessary rights to the User Content
• You have obtained all necessary consents from any individuals featured in or contributing to the User Content
• The User Content does not infringe any third party's intellectual property or other rights
• The User Content complies with these Terms and all applicable laws
• All individuals depicted or heard in the User Content are at least 18 years of age

License Grant

By submitting User Content, you grant Mysa a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and Mysa's business operations, including for promotional purposes.

Content Review

Mysa reserves the right, but has no obligation, to review, screen, edit, or remove any User Content at our sole discretion. We may remove content that violates these Terms or that we find objectionable for any reason without notice.

No Endorsement

User Content does not represent the views of Mysa. We do not endorse any User Content or any opinion, recommendation, or advice expressed therein.

Record Keeping (18 U.S.C. § 2257)

All persons who appear in any visual depiction of actual or simulated sexually explicit conduct appearing or otherwise contained in the Service were over the age of eighteen years at the time of the creation of such depictions. Records required pursuant to 18 U.S.C. § 2257 and 28 C.F.R. Part 75 are kept by the custodian of records and are available for inspection during normal business hours. You may not submit, upload, or share any content that:

• Depicts, describes, or involves minors in any sexual context
• Depicts non-consensual sexual activity, including rape or sexual assault scenarios presented as real
• Depicts or promotes bestiality or zoophilia
• Depicts or promotes incest
• Contains real violence, torture, or abuse
• Promotes or glorifies self-harm or suicide
• Contains illegal content under United States federal or state law
• Infringes any third party's intellectual property rights
• Contains personal information of others without consent (doxxing)
• Impersonates another person or entity
• Contains malware, viruses, or harmful code
• Promotes illegal activities or solicits illegal acts
• Contains hate speech targeting protected classes
• Uses AI-generated voices without clear disclosure and appropriate rights

Mysa has zero tolerance for content involving minors. Any such content will be immediately removed, the account will be permanently banned, and we will report the incident to the National Center for Missing & Exploited Children (NCMEC) and appropriate law enforcement authorities.

You agree not to:

• Violate any applicable laws or regulations
• Misrepresent your age or identity
• Share your account credentials with others
• Create multiple accounts
• Use automated systems (bots, scrapers) to access the Service
• Attempt to circumvent security measures or access restrictions
• Download, record, or redistribute any content from the Service
• Harass, threaten, or intimidate other users or creators
• Use the Service for any commercial purpose without authorization
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any systems or networks
• Use VPNs or proxies to circumvent geographic restrictions
• Engage in any activity that could damage, disable, or impair the Service
• Reverse engineer, decompile, or disassemble any part of the Service

Respect for Intellectual Property

Mysa respects the intellectual property rights of others and expects users to do the same. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA").

DMCA Takedown Notice

If you believe your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our DMCA Agent with the following information:

• A physical or electronic signature of the copyright owner or authorized agent
• Identification of the copyrighted work claimed to be infringed
• Identification of the material claimed to be infringing, with information sufficient to locate it
• Your contact information (address, telephone number, email)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

Counter-Notification

If you believe your content was removed by mistake or misidentification, you may submit a counter-notification containing:

• Your physical or electronic signature
• Identification of the removed material and its former location
• A statement under penalty of perjury that you have a good faith belief the material was removed by mistake
• Your name, address, telephone number, and consent to jurisdiction in federal court

Repeat Infringers

Mysa will terminate the accounts of users who are repeat infringers in appropriate circumstances.

Subscription Plans

Mysa offers free and premium subscription tiers. Premium subscriptions provide access to additional content and features as described on our membership page.

Billing

Premium subscriptions are billed on a recurring basis (weekly, monthly, or annually as selected). By subscribing, you authorize us to charge your payment method automatically at the start of each billing period until you cancel.

Payment Processing

Payments are processed by Stripe, Inc. ("Stripe"). By providing payment information, you agree to Stripe's terms of service. We do not store complete credit card numbers on our servers.

Price Changes

We may change subscription prices at any time. Price changes will take effect at the start of your next billing period following notice of the change. Your continued use of the Service after the price change constitutes acceptance.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will retain access to premium features until that date.

Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion in cases of technical issues preventing access or other exceptional circumstances. Refund requests should be submitted to [email protected] within 7 days of the charge.

Free Trials

We may offer free trials of premium features. Unless you cancel before the trial ends, you will be automatically charged for a subscription at the posted rate.

Termination by You

You may terminate your account at any time by contacting [email protected] or through your account settings. Upon termination, your right to use the Service will immediately cease.

Termination by Mysa

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Uploading prohibited content
• Engaging in prohibited conduct
• Fraudulent or illegal activity
• Non-payment of fees
• At our sole discretion for any reason

Effect of Termination

Upon termination, your license to use the Service terminates immediately. We may delete your account data, including User Content. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations. Sections of these Terms that by their nature should survive termination shall survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Mysa does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• The quality of the Service will meet your expectations
• Any errors will be corrected

You use the Service at your own risk. Mysa is not responsible for any User Content or the conduct of any users on or off the Service.

The audio content on the Service is fictional and intended for entertainment purposes only. Any resemblance to real persons, living or dead, or actual events is coincidental unless explicitly stated otherwise.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MYSA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any User Content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL MYSA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO MYSA, IF ANY, DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless Mysa, its officers, directors, employees, agents, licensors, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Service
• Your violation of any third party's rights, including intellectual property rights
• Your violation of any applicable law or regulation
• Any misrepresentation regarding your age or eligibility

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. You agree to contact us at [email protected] before initiating any formal proceedings.

Arbitration

If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Wyoming or remotely, as determined by the arbitrator.

Class Action Waiver

YOU AND MYSA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date and, for significant changes, by email or prominent notice on the Service.

Your continued use of the Service after any modifications indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
